1. Definitions 
   1.1. “Padiman,” “we,” “us,” and “our” refer to the company and the platform and services provided by Padiman.
   1.2. “Vendor” refers to an independent contractor who provides services through Padiman.
   1.3. “Client” refers to a user who requests and pays for services through Padiman.
   
   

2. Services
   2.1. Padiman provides a platform for Vendors and Clients to connect and transact for services.
   2.2. Vendors are independent contractors and are not employees or agents of Padiman.
   2.3. Padiman does not provide services and is not responsible for any services provided by Vendors.
   2.4. Padiman reserves the right to suspend or terminate the account of any Vendor or Client who violates these terms and conditions or any applicable laws.
   
   

3. Fees
   3.1. Padiman charges a fee to Vendors that use the platform, for accesss to it’s services.
   3.2. Padiman reserves the right to change its fees at any time with notice to Vendors.
   3.3. Vendors and Clients are responsible for any taxes or other fees required by law in connection with their use of Padiman.
   
   

4. User Conduct
   4.1. Vendors and Clients must be at least 18 years old.
   4.2. Vendors and Clients must provide accurate and complete information when registering and using Padiman.
   4.3. Vendors and Clients must comply with all applicable laws and regulations.
   4.4. Vendors and Clients must treat each other with respect and professionalism.
   
   

5. Dispute Resolution
   5.1. Padiman provides a dispute resolution process for Vendors and Clients who have a disagreement about a service.
   5.2. Vendors and Clients must attempt to resolve any disputes through the Padiman dispute resolution process before seeking legal remedies.
   
   

6. Liability
   6.1. Padiman is not responsible for any damages, losses, or injuries arising from or related to the services provided by Vendors.
   6.2. Padiman is not responsible for any damages, losses, or injuries arising from or related to the use of its platform and services.
   6.3. Padiman is not liable for any indirect, incidental, special, or consequential damages arising from or related to its platform and services.
   
   

7. Governing Law
   7.1. These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction (Lagos, Nigeria) in which Padiman is registered.
   7.2. Any disputes arising from or related to these terms and conditions shall be resolved exclusively in the jurisdiction in which Padiman is registered.
   
   

8. Changes to Terms and Conditions
   8.1. Padiman reserves the right to change these terms and conditions at any time with notice to Vendors and Clients.
   8.2. Vendors and Clients are responsible for regularly reviewing these terms and conditions to ensure compliance.
